Company officers (Directors or Secretary) of a Zimbabwean registered company must file an Annual Return with the Companies Registry within 21 days of the anniversary of the company or the last annual return filing.

To complete your Annual Return you will need to submit information about:

Your company name.
Date of meeting.
Address of the registered office.
Number and class of shares.
Number and class of shares taken.
Company directors.
Auditors.
Company secretary.
Members
etc.

Failure to complete it on time will result in your company being penalised, struck off the companies register and/or action against the directors of the company.

Important notes

It is a criminal offence not to file your Annual Return within 30 days of the review period. Your company and its officers may be prosecuted and the company struck off the register. Late filing also carries a penalty of for every outstanding year.

What is an Annual Return in Zimbabwe?

An annual return is a mandatory annual filing that every Private Limited Company is supposed to file at the Companies Registry at least once every year (12 months). It is a to report by companies of any changes to their companies and a confirmation of a variety of aspects about the company, including the addresses, share capital, shareholders etc.

In addition, it also confirms that all other information the company has reported at the Companies Registry (for example, director and secretary information) is correct and up to date.

How often are Zimbabwean companies required to file an annual return?

Every Private Limited Company needs to file an annual return at least once a year.

When is my annual return due?

Your annual return is due at least 21 days after the anniversary of the company or of the last annual return.
